Ben Lyon

Ben Lyon serves as Of Counsel to our firm and is a highly experienced corporate, business and transactional lawyer. For over ten years he served as a General Counsel, executive and advisor to the board of directors for multiple technology companies in the San Francisco Bay Area and Silicon Valley. Prior to that he represented corporations such as Pacific Bell, Cingular Wireless, SBC and AT&T. He has negotiated and documented several large complex domestic and international corporate, business and transactional matters, technology and infrastructure deals and has worked on multiple investment matters, private and public equity financing, acquisitions, real estate purchasing and property development, mineral resources, e-commerce, Internet, wireless technology, telecommunications, patents, copyrights, trademarks, corporate security, data protection, data privacy and various regulatory matters.

Among the transactions in the industry, he includes

  • large scale development projects,
  • in-bound and out-bound agreements,
  • software and hardware licensing agreements,
  • strategic alliances and joint ventures,
  • marketing, sales and distribution agreements,
  • securities offerings,
  • merger and acquisition deals,
  • multiple $30-50+ million deals with companies such as Schlumberger, AT&T, AT&T Wireless, American Express, Accenture, SBC, UPS, Mellon, United Health Group, Verizon, Ericsson, Nokia, and Mitsubishi and major deals with Microsoft, Northern States Power and PECO.

He served intermittently as Adjunct Professor- University of San Francisco-School of Law since the 90’s, instructing on the law and practice of international business transactions and the laws of the C.I.S., including offshore business formation, foreign corrupt practices, protection of intellectual property abroad, currency, CISG, UNIDROIT, customs, and international joint ventures.

He has been a Visiting Professor—Trinity College- Dublin Ireland, June-July 2009; Visiting Professor, Charles University School of Law—Prague- Summers of 1997 through 2002 and Lecturer, University of Latvia- Spring 1993.

Ben received his Juris Doctor from the University of Loyola - School of Law, Los Angeles and a Bachelors Degree (Phi Kappa Phi Honors) from the University of California – Davis.
